Terms of service
What the service does, what it cannot do, and where that leaves each of us. Written to be read rather than to be survived.
These terms govern your use of UnifiWallet Payments (“the service”). They are written to be read. Where something is a real limitation on what we can do for you, it is stated plainly rather than buried, because a merchant discovering it during an incident is worse for both of us.
1. Who you are dealing with
The service is operated by UnifiWallet. Once an operating company is registered, its corporate form, registry number and registered office will be stated here.
Questions, and any legal notice, go to support@unifiwallet.com.
2. What the service is
UnifiWallet Payments is software. It creates payment requests, hosts a checkout page, builds blockchain transactions for a buyer to sign, watches public blockchains for the result, and tells you what happened.
It is not a bank, a money transmitter holding your balance, an exchange, a custodian, an escrow agent in the traditional sense, or a party to the contract between you and your customer.
We never hold your money.
Funds move directly from your customer's wallet to the wallet address you nominate, inside a single blockchain transaction. There is no account balance with us, no payout, and no float. We could not pay you late, spend your money, or be ordered to hand it over, because at no point is it ours to hand over.
The one exception is a hold, if your account uses them: those funds sit in a public smart contract that can send them only to you or back to the buyer, and which the buyer can reclaim without us after the window expires. We cannot redirect them, and neither can anyone else.
3. You are the merchant of record
You sell to your customer; we tell you whether they paid. That means you are responsible for the goods or services, the description, the price, delivery, your returns policy, consumer-law obligations, and any dispute with the customer. We are not a party to that sale and will not arbitrate it.
4. Your account and your keys
- Your wallet is yours. We never hold its private key, cannot recover it, and cannot move funds that reach it. If you lose access to it, the funds in it are lost, and nothing we can do will change that.
- Your API credentials are yours to protect. Anything done with a valid credential is treated as done by you. Revoke a leaked one immediately; the panel does it in one click, effective at once.
- You are responsible for the address you nominate. We check what can be checked — a signature proving you hold the key, a cooling period, screening, and a warning for addresses that look like exchange deposits — but we cannot know whether an address you control today is one you will control tomorrow.
5. What blockchains make impossible
These are properties of the networks the service runs on, not policies we chose, and no term of business can change them:
| Reality | Consequence for you |
|---|---|
| A confirmed transaction cannot be reversed | We cannot claw back a payment, undo a refund, or recall money sent to the wrong address. |
| Transactions are public and permanent | Amounts, addresses and timings are visible to anyone, for ever, and cannot be deleted by us or by you. |
| A chain can reorganise | A payment reported as settled can be undone by the network. This is why we distinguish settled from completed. |
| Token issuers can freeze addresses | Some stablecoin issuers can block an address. If yours is blocked, funds sent to it may be unspendable, and the issuer — not us — controls that. |
| Networks and fees are outside our control | Congestion, outages, forks and fee spikes affect timing and cost. We do not control any chain, wallet or node we depend on. |
6. What we do and do not promise
We promise to operate the service with reasonable skill and care, to describe it accurately, and to tell you what we know about your payments when we know it.
We do not promise that:
- the service will be uninterrupted or error-free;
- a blockchain, node provider, price feed or wallet we depend on will be available or correct;
- a payment will confirm within any particular time, or at all;
- a rate quoted before a transaction will be the rate when it is mined, outside a rate lock;
- the service is suitable for your business, or lawful in your jurisdiction — that is yours to determine.
To the maximum extent permitted by law, the service is provided “as is” and “as available”, and all warranties, conditions and terms implied by statute or common law are excluded.
7. Fees
Our fee is a percentage of each payment, deducted inside the same transaction that pays you, plus the network fee where your settings put that on you. Both figures are fixed onto the payment before your customer pays and shown on every settlement. There are no monthly fees, no chargeback fees and no payout fees.
Network fees we pay on your behalf for transactions that settle nothing — a released hold, an expired hold, a deposit returned to a buyer — are recorded against your account and may be deducted from a future settlement.
8. Refunds are yours to send
Because we never hold your money, we cannot refund your customer for you. The service records what is owed, builds the transaction, and verifies on the blockchain that it arrived. Sending it is your obligation, to your customer, under your returns policy and the law that applies to your sale.
Repeatedly failing to honour refunds you owe is grounds for suspension. That is a commercial consequence, not a mechanism for us to compensate anybody: we hold no reserve and cannot pay your customer on your behalf.
9. Acceptable use
You may not use the service for anything unlawful where you or your customer are, nor to evade sanctions, launder proceeds of crime, finance terrorism, or in breach of a court order. You may not use it to sell what your jurisdiction forbids you to sell.
We screen settlement addresses against sanctions data and refuse what comes back flagged. That check protects the service; it is not a compliance programme for your business, and you remain responsible for your own obligations.
10. Suspension and termination
We may suspend or close an account that breaches these terms, that we are legally required to act on, or that presents a risk we cannot carry. Where we can tell you why, we will.
Suspension stops new payments; it cannot touch money already in your wallet, and it does not stop a buyer reclaiming an expired hold. You can stop using the service at any time. Records we are required to keep survive closure.
11. Limitation of liability
This section is the one to read twice.
Nothing in these terms limits liability that cannot lawfully be limited. In most jurisdictions that includes death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and — where you deal as a consumer — your statutory rights. Any clause here that a court finds excessive is to be read down to what is permissible rather than struck out entirely.
Subject only to that, and to the maximum extent the law allows:
- We are not liable for loss of funds that we never held. This includes funds sent to an address you nominated, funds lost because you lost a key, funds frozen by a token issuer, and funds sent to an address that cannot receive them.
- We are not liable for the behaviour of blockchains or third parties — reorganisations, congestion, forks, failed or delayed confirmations, node and price-feed outages, wallet software, or a counterparty's conduct.
- We are not liable for indirect or consequential loss, including lost profit, lost revenue, lost business, lost goodwill, or the cost of goods you shipped.
- We are not liable for your dispute with your customer, for goods not delivered, or for refunds you owe and have not sent.
- We take no responsibility. You use the service entirely at your own risk. We have no liability and no responsibility of any kind for a payment, a missing payment, a settlement, a refund you owe, or a network we do not operate.
If, despite the above, a court finds us liable for anything, our total liability for all claims together is zero. If a court refuses a zero cap, the cap is the lesser of the fees you actually paid us for the feature that caused the claim in the 30 days before the claim, and ten US dollars (US$10). The money was never ours and the networks are not ours to control. If that is not a risk your business can carry, do not use the service.
12. Your indemnity
You will indemnify us against claims, losses and costs arising from your use of the service in breach of these terms, from the goods or services you sell, from your dispute with a customer, or from your failure to meet a legal obligation of your own.
13. Changes
We may change these terms. Material changes will be notified to account owners by email before they take effect, and the date at the top of this page always says when it last changed. Continuing to use the service after that date is acceptance.
14. Governing law and disputes
These terms, and any dispute arising out of them or out of your use of the service, are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we agree that any dispute will be resolved by final and binding individual arbitration, seated in California and conducted in English, rather than in court or before a jury. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over you.
ANY CLAIM MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. An arbitrator may not consolidate more than one party’s claims. If this waiver is held unenforceable as to a particular claim, that claim alone proceeds in court and every other claim stays in arbitration.
Nothing in this section removes a right you have under the law of your own country of establishment that cannot be waived by agreement, and nothing in it requires you to arbitrate a claim the law says you may not be required to arbitrate.
